Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (together, the "Service") provided by HumOS Inc. ("Humos," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Humos is, and what it is not

Humos provides personalized guidance for performance and general wellness, built from data you choose to connect. Humos is not a medical device, and it does not provide medical advice, diagnosis, or treatment. It is not a substitute for professional medical care. Guidance, including interaction and safety checks, is generated automatically and is not reviewed by a clinician before you see it. Always consult a qualified healthcare provider before making decisions about medication, supplements, exercise, or any change that could affect your health, and seek immediate care for any medical emergency. You are responsible for decisions you make using the Service.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Provide accurate information and keep it current — guidance is only as good as the data behind it.

3. Connected data and third-party services

The Service can integrate data from third parties you connect, such as wearables, Apple Health, and your calendar. You authorize us to access that data on your behalf to provide the Service, and you can revoke any connection at any time from your settings. Your use of third-party services is governed by their own terms and privacy policies, and we are not responsible for them. 4. Acceptable use

You agree not to misuse the Service, including: reverse-engineering or scraping it; interfering with its operation or security; circumventing rate or usage limits; using automated means to access it outside a documented interface; using it to violate any law; uploading another person's data without authorization; or using outputs to provide medical services to others.

5. Service limits and availability

Some features are metered by plan: on the Core tier certain features are available in a capped quantity per period, and on the Pro tier they are uncapped, subject to fair use. Current limits are shown in the app at the point you reach them. We also apply rate limits to our API and to third-party syncs to keep the Service available and to respect the limits of the services you connect. We may adjust these limits to protect the Service, and will give notice of material reductions to a paid plan. The Service may be unavailable during maintenance or for reasons outside our control; we do not commit to a specific uptime level.

6. Subscriptions and payments

Paid features, prices, billing periods, and any trial are presented at the point of purchase and are incorporated here by reference.

Purchases through the App Store. Subscriptions bought in our iOS app are billed by Apple through your Apple Account and are governed by Apple's terms. Such a subscription renews automatically at the then-current price for the same period unless you turn off auto-renewal at least 24 hours before the current period ends. Your Apple Account is charged within 24 hours before the period renews. Manage or cancel a subscription in your Apple Account settings — not in Humos, and not by deleting your Humos account, which does not cancel Apple billing. Any unused portion of a free trial is forfeited when you buy a subscription. Refunds for App Store purchases are handled by Apple under its refund policy; we cannot issue them.

Purchases made directly. Where you subscribe through us rather than an app store, the same renewal terms apply and you can cancel at any time from your billing settings, effective at the end of the current period. Except where law requires otherwise, payments for periods already elapsed are non-refundable.

We may change prices. A price change applies from your next billing period, and we will give you notice with enough time to cancel first.

7. Intellectual property

The Service, including its software, design, and content, is owned by Humos and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. Your data remains yours; you grant us a license to process it solely to operate and improve the Service as described in the Privacy Policy.

8. Termination and account deletion

You can stop using the Service and delete your account at any time — see Account deletion. We may suspend or terminate access for violations of these Terms, or if required by law. Sections that by their nature should survive termination will survive, including disclaimers, limitation of liability, and governing law.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that guidance will produce any particular result, or that the Service will be uninterrupted or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10. Limitation of liability

To the fullest extent permitted by law, Humos will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim, or one hundred US dollars ($100).

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, for death or personal injury caused by negligence, or any statutory rights you have as a consumer. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Changes to the Service and these Terms

We may modify the Service or these Terms. If we make material changes, we will notify you by email or in the app before they take effect. Continued use after changes take effect means you accept them. If you do not accept them, stop using the Service and delete your account.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing anything, please contact us at legal@joinhumos.com — nearly everything is faster to resolve directly, and we will work with you in good faith for 30 days.

Any dispute that is not resolved that way will be brought exclusively in the state or federal courts located in Delaware, and you and Humos each consent to the personal jurisdiction of those courts. This does not prevent either party from seeking injunctive relief where appropriate, and it does not deprive you of the right to bring a claim in your local small-claims court, or of any right you have under the mandatory consumer-protection law of your country of residence.

13. Apple as a third-party beneficiary

If you obtained the app from the App Store: these Terms are between you and Humos, not Apple, and Humos alone is responsible for the app and its content. Apple has no obligation to provide support or maintenance for the app. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation. Humos, not Apple, is responsible for addressing any claim relating to the app, including product-liability claims, claims that the app fails to conform to a legal requirement, and claims arising under consumer-protection or privacy law, and for any third-party claim that the app infringes intellectual-property rights. You represent that you are not located in a country subject to a US Government embargo or designated as terrorist-supporting, and that you are not on any US Government restricted-parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
